Terms and conditions
These terms govern the use of MERP. By creating an account you accept them. They are written to be understood in a single reading.

Who we are and what we offer
MERP is a cloud software service provided by KINTI SYSTEMS S.A.S., tax ID 0195176736001, domiciled in Ecuador. It is accessed through a browser at merp.kintisystems.com.
The service is provided as described on this site at the time of sign-up. Modules marked "beta" or "coming soon" are exactly that, and are not part of what we promise you.
Your account
You sign in with a Google account. Whoever creates the company becomes the owner and can invite others and assign them roles.
You are responsible for what happens under your company’s accounts and for keeping the list of active people current: those are the ones that count towards the price, and the ones with access to your data.
Price and billing
- Price
- 25.00 USD per active user per month, VAT included. There is no per-module charge: the price does not change with what you turn on.
- Trial
- 14 days from sign-up, no card and no conditions.
- Cycle
- One calendar month from the sign-up date.
- Payment window
- 48 hours before and 48 hours after the due date.
- Payment method
- PayPhone. Billing is not automatic: you receive a notice and pay within the window. We do not store card details.
- Proration
- If you add people mid-cycle, only the proportional difference for the current month is charged.
The service is currently in a demo phase: the subscription is created but no charge is issued. We will give advance notice inside the application before applying the first charge, and the price applied will be the one above.
Non-payment, suspension and cancellation
If the payment window closes unpaid, the account is suspended: access to the application is blocked, but the data remains.
A suspended account keeps its data for 3 months. After that it is irreversibly purged, except for electronic tax documents, which are kept for 7 years by legal obligation.
You can cancel whenever you want. There is no minimum term and no penalty: you simply stop paying the next cycle.
Acceptable use
MERP may not be used to:
- Unlawful activity
- Including recording transactions intended to defraud the tax administration.
- Third-party data without a legal basis
- You should only upload personal data you are entitled to process.
- Compromise the service
- Attempting to access other companies’ data, overload the infrastructure or circumvent usage limits.
- Resell it as your own
- Without a written agreement with us.
Your data is yours
The information you record in MERP belongs to your company. We do not use it for anything other than providing the service, we do not sell it and we do not pass it on for advertising. The detail is in the privacy policy.
You can export your information at any time from the Reports module while your account is active.
Electronic invoicing
MERP builds the document, signs it with your electronic signature and transmits it to the Ecuadorian tax authority. To issue, you need to be authorised by the authority and hold a valid electronic signature: you obtain both, and neither depends on us.
Responsibility for the content of what you issue — amounts, line items, recipients — is yours. We are responsible for the document being built and transmitted in line with the applicable technical specification.
Availability and support
We work to keep the service continuously available, but we do not offer a service level agreement with a guaranteed percentage. We would rather not commit to a figure than commit and miss it.
Technical support is requested from inside the application. Each request comes in with a deadline based on the severity you assign, and we work through them in that order.
Limitation of liability
MERP is a recording and calculation tool, not an adviser. It does not replace your accountant, your lawyer or your judgement: accounting, tax and corporate decisions are yours.
To the extent permitted by law, our total liability to you is limited to the amounts you have paid us in the twelve months preceding the event giving rise to it.
Intellectual property
The software, the Kinti brand, the MERP name and the documentation are ours. Subscribing gives you the right to use it, not to copy it, decompile it or create derivative works.
Changes to the service and to these terms
The product changes: modules are added, screens are fixed and things move. When a change alters something you do, that module’s guide is updated with it.
If we modify these terms substantially we will give notice inside the application before they apply.
Governing law
These terms are governed by Ecuadorian law. Any dispute will be submitted to the competent courts of Ecuador.
